GTC has been involved in the biggest deal for 2007 in Bulgaria, consulting the winner in the privatization procedure for the Bulgarian Maritime Fleet.

GTC was selected as the winner in the competition announced by the Sofia Municipal Privatization Agency to perform the due diligence of the biggest real estate company in Bulgaria – Sofia Properties, which assets are estimated to exceed the amount of EUR 500 million.

Georgiev, Todorov & Co. won a case with the Competition Protection Commission for their client Microsoft Corporation
January - March 2005
GTC represented Microsoft Corporation and their local sub - Microsoft Bulgaria – in a complicated procedure with the Competition Protection Commission related to Microsoft’s involvement in the so called e-government project as well as various alleged breaches of fair competition rules. The GTC team consisted of lawyers experienced in IT, competition, administrative procedures and European law. Work involved detailed analysis of the case against Microsoft heard by the European Commission last year, identification of similarities and differences, elaboration of defense strategy, coordination with foreign lawyers, litigation, etc. Following the hearing in February, the Commission dismissed all charges and refused to impose fine to GTC’s clients.

Georgiev, Todorov & Co. defended successfully the privatized Bulgarian Telecommunications Company regarding several lawsuits pending with the Supreme Administrative Court

Following the successful privatization of BTC, with the support of GTC for the buyer – the US-based Advent International Corporation, the firm was retained as long-term outside counsel to the telecom giant.
This year GTC lawyers assisted BTC in three major court procedures: (i) a procedure aiming to establish whether the acquisition of shares in BTC constitutes inadmissible concentration of business for the buyer under the provisions of the Competition Protection Law; (ii) a procedure aiming to establish whether the grant of the GSM3 Licence to BTC constitutes inadmissible state aid under the provisions of the State Aid Law and (iii) a procedure aiming to establish the unlawfulness of the decision awarding GSM3 license to BTC. All procedures ended with decision of the 3-members’ panel of the Supreme Administrative Court in favor for BTC.
Work was focused on telecommunications, licensing, administrative procedures, competition law and European law and involved elaboration of complex overall defense strategies, coordination with foreign lawyers and experts, litigation, etc.

GTC provides legal assistance to the developer of a four-star buy-let apartment complex, with an investment worth 6 million Euro. Work is focused on real estates, construction law, contracts, financing, securitization, post-sale agreements, etc.
Other new tasks related to the same sector include representation of Balfour Beatty GmbH (formerly DaimlerChrysler Rail Systems ) in a 2 million Euro arbitration case versa Bulgarian construction authorities.

Georgiev, Todorov & Co. acts as local legal counsel to Mitsui & Co. Ltd. with respect to several major projects in the field of energy and infrastructure
Since 2004 and ongoing GTC acted as the legal advisor of the consortium of Mitsui & Co. Ltd., Toshiba Corp. and the Japanese Bank of International Cooperation with respect to the rehabilitation of 4 units of Maritza Iztok 2 Thermal Power Plant. Maritza Iztok 2 accounts for approximately 17% of the total electricity produced in Bulgaria and is expected to become even more important in view of the close up of units 3 and 4 of Bulgaria’s nuclear power plan Kozloduy. The approximate value of this project is 260 million Euro. The focus was mainly on the fields of energy, construction, project finance and international contracts. Work involved assistance with negotiations, issuing of legal opinions, comments on draft-agreements, analysis of legislation and advice on expected legislative amendments, setting local subsidiaries, taxation, etc. GTC successfully advised on EU competition issues and defended the client before the Supreme Administrative Court with respect to state aid issues. The firm also managed to ensure the issuing of a state guarantee in favor of JBIC.
Following the successful approval of the financial agreements supporting the project in the summer of 2004, GTC were retained to represent Mitsui & Co. Ltd. as developer and EPC-contractor in connection with an extension project for Maritza Iztok 3 Thermal Power Plant. The approximate value of the new project is 1 billion Euro.
